Summary

The Senior Compliance Executive shall act as the primary contact for the respective business units and is required to establish a strong business relationship with the trading, sales and research functions, delivering sound regulatory advice to the business. As well as taking a proactive role in identifying potential issues such as conflicts, weaknesses and non-compliance of requirements, the incumbent shall undertake and assist the team in respect of reviews in accordance with the Compliance Monitoring Programme as agreed from time to time with the Compliance Manager – Capital Markets.

Scope

This role will be responsible for Capital market activities in debt capital market products and equity derivatives and relevant research and sales activities in these product lines; as well as guidance and supervision of the relevant Compliance Assistants.

Key Responsibilities

1. Regulatory advice and queries

To assist Capital Market front office with their activities and attend to enquiries; providing effective and co-ordinated compliance advice and ensuring appropriate information flow in a timely fashion. Such advice will include consideration of best practices, regulatory requirements from competent authorities, as well as internal procedures and directives. In respect of inquiries from Regulators including Exchanges, to work with the relevant Compliance team and support functions (such as Operations, Legal, etc) for a response within the required deadline.

2. Compliance Monitoring Programme

Carry out regular compliance and operational reviews on various aspects of the business in Capital markets (as set out in the Compliance Monitoring Programme) in conjunction with members of the team; reporting on identified weaknesses and following through to ensure implementation of agreed action points. This entails setting out and agreeing the scope of work to be carried out, assisting with the preparation of the report and making recommendations for improvements.

3. Training and regulatory updates

Develop and maintain awareness of applicable rules and regulations so that advice and guidance provided to the business are up-to-date and applicable. The relevant business lines are to be kept up-to-date on regulatory developments that affect them. This will also entail working where appropriate with the Compliance Project Manager to ensure delivery of training programmes with the Deputy Head in respect of targeted training. Maintain and update training packs on Market Abuse regime, Exchange rules, Traders pack, etc.

4. Conflicts management

To monitor that conflicts have been appropriately managed in accordance with the bank’s procedures, and raising awareness of any issues for discussion with the Control room and/or business lines. To this end, review all issues which are brought up by Compliance Assistants in respect of PA Dealing, restricted and watch list, pipelines, insider dealing issues, etc.

5. Research and Financial Promotions

Advise and review research, marketing material, term sheet disclosures and disclaimers in accordance with the Financial Promotions regime and Conduct of Business rules on dealing and research. In particular, advise and liaise on appropriate use of regulatory exemptions to enable access to the US and overseas markets.

6. Trade Monitoring

To look into issues raised by the Transaction Monitoring Unit, ensuring that trades highlighted are reviewed and investigated as the case may be.

7. Classifications

To assist Compliance Assistants with classifications of new and opted-up clients, ensuring that classifications are carried out on a timely basis and that all opt-up letters are sent and returned where relevant. Review that the department’s client database is maintained.

1. Internal

To assist Compliance Assistants, Business Managers and Human Resources with queries and registration requirements. In addition, to ensure that the organisation chart and the department’s staff database are up-to-date.

2. Policies and Procedures

Assist the implementation of Compliance Operating Procedures so that it reflects current regulatory and internal requirements. To assist and provide input to business lines in developing or implementing policies and procedures that define the regulatory and fiduciary standards and requirements applicable to them.

3. Ad-hoc

To assist the Deputy and senior management with ad-hoc tasks and projects that may be assigned from time to time.

Senior Compliance Executives are assisted in their roles by a team of Compliance Assistants and the Executive is required to provide expert guidance to junior members of the team as necessary, and to ensure that adequate records are maintained in respect of meetings, discussions and other work.

Senior Compliance Executives are also required to represent Compliance on committees and steering groups from time to time, as agreed with the Compliance Manager – Capital Markets.
